Terms & Conditions
The agreement between Lamus Design and our clients — covering scope, payment, ownership and everything in between.
These Terms and Conditions (“Terms”) govern the use of services provided by Lamus Design and form a legally binding agreement between us and you, the Client. Please read them carefully before proceeding — engaging our services indicates acceptance of all the terms set out below.
1. Scope of services
Lamus Design provides website design, e‑commerce development, search engine optimisation, digital marketing and website maintenance services. Specific offerings include custom design, responsive layouts, content management system setup and ongoing technical support.
We reserve the right to expand, modify or discontinue certain services at our discretion, provided this does not affect ongoing projects already agreed upon in writing.
2. Client responsibilities
To keep a project moving, the Client agrees to:
- Provide accurate business and contact information.
- Supply content materials — text, images, logos and product data — in good time.
- Respond promptly to requests for feedback and approval.
- Hold the legal rights to all materials supplied to us.
- Comply with all applicable laws in the use of the completed website.
Project delays resulting from client non‑compliance are not the responsibility of Lamus Design.
3. Payments and fees
3.1 Deposit and balance
A 50% deposit is required before a project commences. The remaining balance is due within 7 days of project completion.
3.2 Late payment
If the Client fails to settle the outstanding balance within 30 days of project completion, a penalty of 30% of the original project cost will be applied.
3.3 Payment methods
Bank transfers and electronic payments are accepted. Any transaction fees are borne by the Client.
3.4 Refunds
Payments made to Lamus Design are non‑refundable, except where explicitly stated otherwise in writing.
4. Intellectual property and copyright
4.1 Ownership of final deliverables
Upon full payment, the Client retains ownership of their website, including all content and functionality, with the right to edit and modify it as they wish.
4.2 Our rights
Lamus Design retains the right to reuse website templates, layouts or design elements, with modifications, in other projects for different clients. We may showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing.
4.3 Client materials
The Client warrants that they own or have secured the rights to all content provided to us, and agrees to indemnify Lamus Design against any claim arising from the unauthorised use of such material.
5. Revisions and approvals
Lamus Design will provide reasonable opportunities for revisions during the design and development phase, as agreed in the project scope. Additional revisions beyond that scope incur extra charges, and modifications requested after final approval are billed as new work.
6. Website maintenance
Maintenance packages cover updates, backups and security monitoring under a separate agreement. Clients who decline maintenance services assume responsibility for any vulnerabilities that arise as a result.
7. SEO and marketing services
Due to the nature of search engine algorithms, we do not guarantee specific rankings, traffic volumes or conversion rates. Results depend on external factors beyond our control, including competitor activity and algorithm updates.
8. Confidentiality
Both parties will maintain the confidentiality of proprietary information, trade secrets and unpublished data, except where that information is already public or disclosure is required by law.
9. Limitation of liability
Lamus Design will not be liable for any indirect, incidental or consequential damages, including but not limited to loss of revenue, profits or business opportunities. Our liability is capped at the total amount paid for the relevant service. Issues caused by third‑party providers fall outside our responsibility.
10. Termination and suspension
Either party may terminate this agreement on written notice if the other breaches these Terms and fails to remedy the breach within 14 days. We may immediately suspend services for non‑payment, unlawful conduct or conduct that damages our reputation. Termination triggers immediate payment of all outstanding balances and penalties.
11. Indemnification
The Client agrees to indemnify and hold harmless Lamus Design, its employees and contractors against any claims, damages, losses or expenses (including legal fees) arising from client misuse, unauthorised use of material, or breach of these Terms.
12. Force majeure
Lamus Design shall not be liable for delays, failures or disruptions caused by events beyond our reasonable control, including natural disasters, strikes, government action, pandemics or technical failures.
13. Governing law
These Terms are governed by and interpreted under the laws of the Republic of South Africa.
14. Changes to these Terms
Lamus Design reserves the right to update or modify these Terms at any time. Continued use of our services indicates acceptance of the revised Terms.
15. Entire agreement
These Terms represent the complete agreement between the parties and supersede all prior understandings, whether oral or written. Engaging Lamus Design and paying the deposit constitutes acknowledgement of and agreement to all the terms stated here.
